These terms apply to all engagements between ProfitPad Consulting Inc. ("ProfitPad," "we") and the client ("you"). By signing a ProfitPad proposal, you agree to the scope, timeline, and investment in that proposal and to these terms.
The proposal defines the scope. Anything outside the proposal requires a separate quote.
After each deliverable (e.g., pipeline build, property setup, workflow creation), we accommodate up to two revisions within the original scope. Revisions are changes that adjust the behavior of existing work. They may affect the timeline, so raise them early.
If a change requires new automation, a new feature, or a significant alteration to what was agreed, that's an add-on. Add-ons require a separate quote. Your written approval is required before any additional work begins. If you decline the add-on, we proceed with the original scope as agreed.
If the project volume significantly exceeds what was originally scoped (e.g., more than 50 properties, 10 workflows, and/or 15 reports), we'll let you know and discuss revising the scope or timeline.
All invoices are due within 7 days of issue. If an invoice remains unpaid 14 or more days past its due date, ProfitPad reserves the right to immediately pause or terminate work until payment is received. No additional deliverables will be produced during a payment hold.
Timely access to tools, permissions, stakeholders, and software is essential. If there are delays in providing access, it may affect the project timeline.
We work together to ensure access is granted before kickoff. If access-related delays occur, we'll notify you of the impact on timing and adjust accordingly.
If changes to your team, missed meetings, or extended approval cycles push the project timeline by more than four weeks beyond the original schedule, ProfitPad may adjust the project fee by up to 30% to account for the additional time and resources required, or cancel the engagement. We'll discuss this with you before taking action.
Every engagement includes: full documentation with notes, screen-recorded process walkthroughs, support during business hours (Monday through Friday, 9am to 5pm PT) with responses within one business day, 30 days of post-project support, and a process chart where applicable. Up to two revisions per deliverable within scope.
If the agreed objective outlined in your proposal is not met, we'll refund the project fee. 100+ projects delivered, zero clients left paying for broken promises.
All deliverables (configurations, workflows, dashboards, documentation, custom code built for your portal) transfer to you upon full payment. ProfitPad retains ownership of its internal methodologies, frameworks, templates, and tools used to deliver the work. These are not included in the deliverables and are not transferred.
ProfitPad's total liability for any claim arising from an engagement is limited to the total fees paid by you for that engagement. ProfitPad is not liable for indirect, incidental, consequential, or special damages, including lost revenue, lost data, or business interruption, regardless of cause. This applies even if ProfitPad has been advised of the possibility of such damages.
Both parties agree to keep confidential and not disclose to any third party any proprietary or confidential information shared in connection with the engagement, without the other party's prior written consent.
For the duration of the engagement and 12 months after, you agree not to solicit, hire, or engage any ProfitPad employee, consultant, or subcontractor, directly or indirectly, without ProfitPad's prior written consent.
If this clause is breached, liquidated damages equal to three months of the solicited individual's billing rate or $15,000 CAD, whichever is greater, are payable to ProfitPad. Both parties acknowledge this amount is a reasonable estimate of the harm caused by such a breach.
ProfitPad does not engage in projects for industries or business activities that conflict with our values. This includes adult entertainment, cannabis production or distribution, gambling, or activities that cause reputational harm.
ProfitPad reserves the right to decline new engagements or discontinue future work if a client's business activities no longer align with these values. This does not affect our commitment to complete any work already in progress. In such cases, we'll ensure a smooth transition.
This agreement continues until all services in the proposal are completed and delivered. Either party may terminate upon 30 days' written notice if the other party breaches its obligations and fails to cure the breach within 30 days of receiving written notice.
ProfitPad may also terminate immediately under the non-payment clause above.
These terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved through binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC), located in Vancouver, British Columbia.
